Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and LynxTrades ("we," "our," or "us") governing your access to and use of the website lynxtrades.com and the LynxTrades application (together, the "Service"). By creating an account or accessing the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, including the mandatory arbitration provision and class action waiver in Section 18, you may not access or use the Service.

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to create an account. By using the Service you represent that you meet this requirement and that any registration information you submit is accurate.

LynxTrades is a trading journal and performance-analytics platform. The Service lets you record and organize trades across stocks, options, futures, forex, crypto, and commodities; import trade history via CSV upload or read-only broker connections; maintain notes, strategy playbooks, and journals; track prop-firm challenge accounts; and analyze your own historical performance using statistical tools (including heatmaps, excursion analysis, simulations, and position-sizing models) and AI-assisted features (collectively, "Onyx"). Features, quotas, and limits vary by subscription tier and are described on our pricing page and in the application; we may adjust feature composition and limits as the Service evolves.

Trading financial instruments involves a high degree of risk and is not suitable for all investors. You could lose some or all of your capital. You acknowledge and agree that:

• All analytics, statistics, charts, simulations, projections, AI-generated commentary, and other content in the Service are for informational and educational purposes only and are derived from data you supply.
• Past performance recorded in your journal, and any simulation or projection built on it, does not guarantee or predict future results.
• You are solely responsible for your own trading decisions, position sizing, risk management, and investment research.
• LynxTrades is not a broker-dealer, investment adviser, commodity trading advisor, or financial institution, and does not execute, route, or facilitate trades or hold customer funds.
• Market data displayed in the Service may be delayed, incomplete, or inaccurate and must not be relied upon for trade execution.

To access most features you must register for an account. You agree to provide accurate, current, and complete registration information; to keep your credentials confidential; and to notify us promptly through the in-app support form if you suspect unauthorized access to your account. You are responsible for all activity that occurs under your account. Accounts are personal to you and may not be sold, transferred, or shared. We reserve the right to suspend or terminate accounts that provide false information, abuse the Service, or violate these Terms.

Free and paid plans

LynxTrades offers a free tier and a paid "Pro" subscription. Current features and limits for each tier are listed on our pricing page. Free-tier limits include (among others) the number of active trading accounts, storage, attachments, and AI usage; Pro removes or raises these limits and adds features such as broker auto-sync, AI CSV import, advanced analytics, simulations, and full Onyx access.

Billing options and auto-renewal

The Pro plan is available with two billing options: monthly ($17.99/month) or annual ($13.33/month, billed as $160/year). All subscriptions are billed in advance through our payment processor, Stripe, and automatically renew at the end of each billing period (monthly or annually) at the then-current price, with the payment method on file charged automatically, unless you cancel beforehand. Subscribers who purchased at an earlier price retain that price for as long as their subscription remains continuously active; a lapsed or cancelled subscription that is later restarted is billed at the then-current price. Applicable taxes may be added where required by law.

Cancellation

You may cancel your subscription at any time in Settings → Subscription → Manage Subscription & Billing. Upon cancellation, your subscription remains active until the end of the current billing period, after which it will not renew and your account reverts to the free tier. Data you created is not deleted on downgrade, but resources exceeding free-tier limits become read-only or inaccessible until you are back within the limits, and broker connections are removed (trades already imported remain).

No refunds

Except where required by law, payments are non-refundable and there are no refunds or credits for partially used billing periods, downgrades, or unused features. Following cancellation you retain access through the end of the period you paid for.

Price changes

We reserve the right to change subscription prices. For existing subscribers, we will provide at least 30 days notice via email or prominent notice in the Service before a price change affects an active subscription, and the change will take effect at the start of the next billing cycle following the notice period.

Promotional access

We may, at our discretion, grant temporary promotional access to Pro features (for example, in connection with testimonial or feedback campaigns). Promotional access is limited in duration, may be modified or revoked in cases of abuse, and converts to the free tier when it expires unless you purchase a subscription.

Eligibility and rewards

Registered users in good standing receive a unique referral code and link. When a new user signs up through your referral link and subsequently subscribes to a paid plan, you receive a one-time billing credit of $7.50, applied automatically to your billing balance and offset against your next invoice. Credits stack, are non-transferable, have no cash value, and cannot be redeemed for cash.

Prohibited activities

• Creating fake or duplicate accounts to earn referral rewards.
• Self-referring by using your own referral code or link on additional accounts.
• Using misleading, deceptive, or spammy methods to distribute your referral link.
• Offering financial incentives beyond the program's built-in rewards to induce sign-ups.

Program modifications

We may modify, suspend, or terminate the referral program at any time without prior notice, and may revoke credits or suspend accounts where we determine, in our sole discretion, that the program is being abused.

Pro subscribers may connect brokerage and prop-firm accounts so that trade history is imported automatically. By connecting an account you represent that you are authorized to access it and you authorize us to retrieve trade, position, and balance data from it on your behalf. Broker connections are read-only, and we never ask for or store your master brokerage credentials. Connection counts and sync frequency are limited as described in the application.

• Connected data flows through third-party brokerage platforms and connectivity providers that we do not control; we are not responsible for their availability, accuracy, or acts and omissions.
• Imported data may be incomplete or delayed; you are responsible for verifying that your journal reflects your actual trading activity.
• We may add, change, suspend, or discontinue support for particular brokers or integration methods at any time.
• CSV imports are processed automatically (including with AI assistance) and mappings should be reviewed before confirming; you are responsible for the accuracy of confirmed imports.

The Service includes AI-assisted features, including chat, trade review, journal coaching, news summaries, risk alerts, and CSV column mapping, that generate content algorithmically from the data in your account and from your prompts. You acknowledge that:

• AI output may be inaccurate, incomplete, or misleading, and must not be treated as financial, investment, legal, or tax advice.
• AI output is informational commentary on your own historical data and is not a signal, forecast, or recommendation.
• AI features are subject to usage allowances that differ by tier and may change; we may throttle or limit usage to protect the Service.
• You are responsible for evaluating AI output before acting on it.

The Service allows you to store trades, notes, images, attachments, and other material ("Content"). You retain all rights to your Content. By submitting Content you grant us a limited, worldwide, non-exclusive license to host, store, reproduce, process, display, and transmit that Content solely as necessary to operate, provide, secure, and improve the Service for you (including processing it with the AI features you invoke). This license ends when your Content is deleted from the Service, subject to residual copies in backups for a limited period. You are responsible for your Content, including its legality and your right to upload it, and for maintaining your own copies of anything important. The in-app export tools are provided for this purpose.

You agree not to use the Service in any way that violates applicable law or these Terms. Prohibited activities include:

• Decompiling, reverse engineering, scraping, or attempting to derive the source code of the Service.
• Circumventing subscription limits, usage allowances, or access controls, or accessing another user's account or data.
• Transmitting viruses, malware, or other harmful code, or interfering with the integrity or performance of the Service.
• Using automated systems to access the Service other than through interfaces we provide.
• Reselling, sublicensing, or providing the Service to third parties as a service bureau.
• Uploading Content that is unlawful, infringing, or that you lack the right to use.
• Harassing, threatening, or defrauding other users, or abusing support channels.

The Service and its original content (excluding your Content), features, and functionality, including software, design, text, graphics, logos, and trademarks, are and will remain the exclusive property of LynxTrades and its licensors, protected by copyright, trademark, and other laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes. Our trademarks and trade dress may not be used without our prior written consent. If you provide feedback or suggestions, we may use them without restriction or compensation.

The Service interoperates with third-party services, including payment processing, brokerage platforms and connectivity providers, market-data sources, and embedded media (for example, YouTube videos you embed in notes). Your use of a third-party service is governed by that party's own terms and privacy policy, and we are not responsible for third-party services, their content, or their handling of your data. Links to third-party sites are provided for convenience and do not imply endorsement.

We aim for high availability but do not guarantee that the Service will be uninterrupted, timely, or error-free. We may modify, suspend, or discontinue any part of the Service (including features, integrations, and quotas) at any time. Where a change materially reduces the core functionality of a paid subscription, your remedy is to cancel; Section 5's cancellation terms apply.

We may suspend or terminate your account immediately, without prior notice or liability, if you breach these Terms, abuse the Service, or where required by law. You may stop using the Service and request account deletion at any time through the in-app support form or the contact form. Upon termination your right to use the Service ceases; provisions that by their nature should survive (including Sections 3, 9, 11, and 15–18) survive termination.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, ITS ANALYTICS, IMPORTED DATA, OR AI OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, OR ERROR-FREE, OR THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LYNXTRADES, ITS OWNERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) FIFTY U.S. DOLLARS ($50).

You agree to defend, indemnify, and hold harmless LynxTrades and its owners, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your Content, your use of the Service in violation of these Terms, your violation of applicable law, or your infringement of any third-party right.

Informal resolution first

Before filing a claim, you agree to first contact us through the contact form describing the dispute, and to give us 60 days to attempt to resolve it informally.

Binding arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may (a) bring an individual claim in small claims court, or (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent infringement or misuse of intellectual property. Arbitration shall be conducted in English and may be conducted remotely by videoconference. The Federal Arbitration Act governs the interpretation and enforcement of this section.

Class action waiver

YOU AND LYNXTRADES EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING.

Disputes may be brought only in an individual capacity, and the arbitrator may not consolidate more than one person's claims. If the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice, via email or prominent notice in the Service, before the new terms take effect. What constitutes a material change will be determined at our sole discretion. By continuing to use the Service after revisions become effective, you agree to be bound by the revised Terms; if you do not agree, you must stop using the Service.
